1. Introduction and Acceptance

1.1 Agreement to Terms

Welcome to WeTrippen. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and WeTrippen, Inc. ("WeTrippen," "Company," "we," "us," or "our") governing your access to and use of the WeTrippen platform, including our website at wetrippen.com, mobile applications, kiosk software, APIs, and all related services (collectively, the "Service" or "Platform").

By accessing or using the Service, creating an account, or clicking "I Agree" or similar acceptance mechanism, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1.2 Eligibility

To use the Service, you must:

  1. Be at least 18 years of age or the age of legal majority in your jurisdiction;
  2. Have the legal capacity to enter into a binding agreement;
  3. Not be prohibited from using the Service under applicable laws;
  4. If registering on behalf of an organization, have the authority to bind that organization to these Terms.

1.3 Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For material changes affecting paid subscriptions, we will provide at least 30 days' notice via email to registered users. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.


2. Definitions

For purposes of these Terms, the following definitions apply:

  • "Attendee" — means any individual who accesses photos or content through the Platform at or in connection with an Event, including via QR code scanning or direct album access.

  • "Biometric Data" — means data derived from an individual's physical characteristics used for identification purposes, including but not limited to facial geometry, facial recognition templates, and facial feature vectors.

  • "Content" — means any photos, images, videos, text, graphics, logos, watermarks, or other materials uploaded to, processed by, or displayed through the Service.

  • "Event" — means any gathering, occasion, or occurrence for which a Photographer uses the Service to capture, manage, or distribute photos.

  • "Facial Recognition Features" — means the Service's functionality that analyzes facial characteristics in photos to enable photo organization, search, and identification features including "Find Me" functionality.

  • "Paid Album" — means an album configured by a Photographer to require payment from Attendees for access to view or download photos.

  • "Pay-Per-Download" — means the pricing model where Attendees pay for individual photo downloads as set by the Photographer.

  • "Photographer" — means any user who subscribes to a paid plan and uses the Service to upload, manage, brand, and distribute event photos.

  • "Platform Fee" — means the percentage or fixed fee retained by WeTrippen from transactions processed through the Service.

  • "Subscription" — means the recurring payment plan selected by a Photographer for access to the Service.

  • "User Content" — means any Content uploaded, submitted, or transmitted to the Service by users.


3. Account Registration and Types

3.1 Account Creation

To access certain features of the Service, you must create an account by providing accurate, current, and complete information as prompted by our registration form. You agree to maintain and promptly update your account information to keep it accurate, current, and complete.

3.2 Account Types

The Service offers the following account types:

  1. Personal Account: A free account for individuals to access photos shared with them through the Platform, manage their profile, and utilize basic Platform features.
  2. Photographer Account: A paid subscription account for professional photographers and businesses to upload, edit, brand, deliver, and monetize event photos through the Platform.

3.3 Account Security

You are responsible for:

  1. Maintaining the confidentiality of your account credentials;
  2. All activities that occur under your account;
  3. Immediately notifying WeTrippen of any unauthorized use of your account or any other security breach;
  4. Ensuring that you log out of your account at the end of each session when using shared devices.

WeTrippen will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.4 Account Sharing

Photographer accounts are licensed to a single user or business entity. Account credentials may not be shared with or used by any other person or entity, except that Unlimited plan subscribers may create team accounts as specified in their plan features.


4. Subscription Plans and Billing

4.1 Subscription Tiers

WeTrippen offers the following subscription plans for Photographers:

(a) Starter Plan ($50/month)

  • 1 Kiosk
  • 1 Camera connection
  • 5 Events
  • 10 Albums
  • Basic features as described on our pricing page

(b) Pro Plan ($150/month)

  • 5 Kiosks
  • 3 Camera connections
  • 20 Events
  • 50 Albums
  • Logo branding, ZIP downloads, pay-per-download, paid albums, and analytics features

(c) Unlimited Plan ($400/month)

  • Unlimited Kiosks
  • Unlimited Camera connections
  • Unlimited Events
  • Unlimited Albums
  • All Pro features plus white-label options, team accounts, and dedicated support

4.2 Free Trial

We may offer a free trial period for new subscribers. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You may be required to provide valid payment information to start a free trial.

4.3 Billing and Payment

  1. Subscription fees are billed in advance on a monthly recurring basis.
  2. All fees are quoted and payable in United States Dollars (USD).
  3. Payment is processed through our third-party payment processor, Stripe. By subscribing, you agree to Stripe's terms of service.
  4. You authorize WeTrippen to charge your designated payment method for all fees due under your subscription.
  5. Subscription fees are non-refundable except as expressly set forth in these Terms or required by applicable law.

4.4 Price Changes

WeTrippen reserves the right to change subscription prices upon 30 days' prior notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.

4.5 Taxes

You are responsible for all applicable taxes, duties, and levies associated with your subscription, except for taxes based on WeTrippen's net income. If WeTrippen is required to collect or pay taxes on your behalf, such taxes will be added to your invoice.

4.6 Subscription Limits

Each subscription tier includes specific limits on resources (kiosks, cameras, events, albums, etc.). These limits are enforced by the Platform. If you exceed your plan limits, you will need to upgrade to a higher tier or remove resources to continue creating new items.

4.7 Cancellation

  1. You may cancel your subscription at any time through your account settings or by contacting support.
  2. Cancellation will take effect at the end of your current billing period.
  3. Upon cancellation, your account will be downgraded and you will lose access to paid features. Your Content will be retained for 90 days, after which it may be deleted.
  4. No refunds will be provided for partial billing periods.

4.8 Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date.


5. Photographer Responsibilities

5.1 Event Authorization

Photographers represent and warrant that they have obtained all necessary rights, permissions, and authorizations to:

  1. Photograph individuals and property at each Event;
  2. Upload, store, and distribute photos through the Platform;
  3. Apply branding, watermarks, and edits to photos;
  4. Sell or monetize photos through the Platform's paid features;
  5. Enable facial recognition features on uploaded photos.

5.2 Consent Collection

Photographers are solely responsible for obtaining all required consents from photographed individuals, including but not limited to:

  1. Consent to be photographed;
  2. Consent for photos to be uploaded to and distributed through the Platform;
  3. Consent for photos to be sold or monetized;
  4. Explicit, informed consent for facial recognition processing as required by applicable biometric privacy laws (see Section 10);
  5. Consent for photos to be used for any other purposes enabled by the Platform.

WeTrippen provides tools and sample consent language that Photographers may use, but Photographers remain solely responsible for ensuring adequate consent is obtained.

5.3 Minor Subjects

When photographing minors (individuals under 18 years of age), Photographers must:

  1. Obtain verifiable parental or guardian consent before uploading photos containing identifiable minors;
  2. Comply with all applicable laws regarding photography and data collection involving minors;
  3. Not enable pay-per-download or facial recognition features for albums containing primarily minors without enhanced parental consent measures;
  4. Immediately remove any photos of minors upon request from a parent or legal guardian.

5.4 Professional Conduct

Photographers agree to:

  1. Use the Service only for lawful purposes;
  2. Accurately represent their services and pricing to Event organizers and Attendees;
  3. Respond promptly to Attendee inquiries and complaints;
  4. Maintain appropriate professional liability insurance;
  5. Comply with all applicable professional standards and regulations.

5.5 Content Standards

Photographers shall not upload Content that:

  1. Is illegal, obscene, defamatory, threatening, or harassing;
  2. Infringes any third party's intellectual property or privacy rights;
  3. Contains sexually explicit material involving minors;
  4. Promotes violence, discrimination, or illegal activities;
  5. Contains malware, viruses, or harmful code;
  6. Violates any applicable law or regulation.

6. Attendee and End User Terms

6.1 Attendee Access

Attendees may access photos through the Platform by:

  1. Scanning QR codes provided at Events;
  2. Accessing direct album links shared by Photographers or Event organizers;
  3. Using the Platform's search and "Find Me" features after creating an account and consenting to facial recognition.

6.2 Attendee Accounts

Attendees may create free Personal Accounts to:

  1. Save and organize photos from Events they attended;
  2. Enable "Find Me" features to locate their photos across Events;
  3. Purchase photos from Paid Albums or Pay-Per-Download offerings;
  4. Manage their privacy preferences and data.

6.3 Photo Usage Rights

Unless otherwise specified by the Photographer or Event organizer:

  1. Photos accessed through the Platform are for personal, non-commercial use only;
  2. Attendees may not redistribute, sell, or commercially exploit photos without explicit permission from the Photographer;
  3. Attendees may share photos on personal social media with appropriate attribution if permitted by the Photographer's settings.

6.4 Attendee Responsibilities

Attendees agree to:

  1. Provide accurate information when creating accounts or making purchases;
  2. Respect the intellectual property rights of Photographers;
  3. Not attempt to circumvent payment requirements, watermarks, or access restrictions;
  4. Not use automated tools to scrape, download, or collect photos from the Platform.

7. Content Ownership and Licensing

7.1 Photographer Ownership

Photographers retain all ownership rights in and to the photos and Content they upload to the Platform. WeTrippen does not claim ownership of User Content.

7.2 License to WeTrippen

By uploading Content to the Platform, Photographers grant WeTrippen a worldwide, non-exclusive, royalty-free, sublicensable license to:

  1. Store, host, backup, and transmit the Content;
  2. Display and distribute the Content to Attendees and authorized users;
  3. Process the Content for Platform features including editing, branding, watermarking, thumbnailing, and facial recognition;
  4. Use the Content for Platform operation, maintenance, and improvement;
  5. Create derivative works as necessary for Platform functionality (e.g., thumbnails, watermarked versions, compressed versions).

This license continues for so long as the Content remains on the Platform and for a reasonable period thereafter necessary for backup and archival purposes.

7.3 License Restrictions

The license granted to WeTrippen does not include the right to:

  1. Sell the Content to third parties (except facilitating Photographer's Pay-Per-Download sales);
  2. Use the Content for WeTrippen's advertising or marketing without Photographer consent;
  3. Sub-license the Content for purposes unrelated to Platform operation.

7.4 Content Removal

Photographers may remove their Content from the Platform at any time through the dashboard or by contacting support. Upon removal:

  1. WeTrippen will remove the Content from active Platform access within a reasonable time;
  2. Backup copies may persist for up to 90 days;
  3. Content already purchased or downloaded by Attendees will remain with those Attendees;
  4. Derived data (facial recognition vectors, analytics) will be deleted in accordance with our data retention policies.

7.5 WeTrippen Content

The Platform, including its design, features, software, documentation, and WeTrippen-created content, is owned by WeTrippen and protected by intellectual property laws. Users receive only the limited license rights expressly granted in these Terms.


8.1 Eligibility

Paid Albums and Pay-Per-Download features are available to Photographers subscribed to Pro or Unlimited plans.

8.2 Pricing Control

Photographers have sole discretion to set prices for:

  1. Individual photo downloads (Pay-Per-Download);
  2. Album access fees (Paid Albums);
  3. Any other monetization options offered through the Platform.

WeTrippen does not control or guarantee pricing and is not responsible for disputes between Photographers and Attendees regarding pricing.

8.3 Watermarking

For Pay-Per-Download and Paid Album content:

  1. The Platform automatically applies watermarks to preview images;
  2. Watermarks are removed upon successful payment;
  3. Photographers may customize watermarks (Pro and Unlimited plans) or use WeTrippen's default watermark;
  4. Photographers are responsible for ensuring watermark settings are properly configured.

8.4 Transaction Processing

  1. All payments for Paid Albums and Pay-Per-Download are processed through Stripe;
  2. Attendees must agree to Stripe's terms of service to complete purchases;
  3. Photographers must connect a valid Stripe account to receive payouts;
  4. WeTrippen is not a party to the transaction between Photographer and Attendee.

8.5 Revenue Distribution

For each successful transaction:

  1. Platform Fee: WeTrippen retains fifteen percent (15%) of the gross transaction amount as a Platform Fee;
  2. Payment Processing Fee: Standard payment processing fees (approximately 2.9% + $0.30 per transaction) are deducted by Stripe;
  3. Photographer Payout: The remaining amount after Platform Fee and payment processing fees is credited to the Photographer's connected Stripe account.

Example: For a $10.00 photo purchase:

  • Gross amount: $10.00
  • Platform Fee (15%): $1.50
  • Stripe fee (~2.9% + $0.30): ~$0.59
  • Photographer receives: ~$7.91

8.6 Payouts

  1. Payouts are processed through Stripe Connect;
  2. Payout timing is subject to Stripe's standard payout schedule (typically 2-7 business days);
  3. Photographers are responsible for providing accurate banking information;
  4. Minimum payout thresholds may apply as specified by Stripe;
  5. WeTrippen is not responsible for delays or failures in payouts caused by Stripe or banking institutions.

8.7 Refunds and Disputes

  1. Attendees may request refunds within 24 hours of purchase for technical issues preventing download by submitting a request through our Contact form: select Refund request as the issue type and provide your message. Contact form;
  2. Photographers may issue voluntary refunds through the Platform dashboard;
  3. WeTrippen reserves the right to issue refunds in cases of fraud, technical failure, or policy violations;
  4. Platform Fees are non-refundable except in cases of WeTrippen error;
  5. Chargebacks and payment disputes are handled according to Stripe's dispute resolution process;
  6. Photographers are responsible for chargeback fees and reversed funds for transactions where the Photographer is at fault.

8.8 Tax Responsibilities

  1. Photographers are solely responsible for reporting and paying all applicable taxes on revenue earned through the Platform;
  2. WeTrippen will provide 1099 forms to US-based Photographers as required by law;
  3. Photographers are responsible for collecting and remitting sales taxes where applicable;
  4. WeTrippen does not provide tax advice; Photographers should consult qualified tax professionals.

8.9 Prohibited Transactions

Photographers shall not use Paid Albums or Pay-Per-Download to:

  1. Sell photos of individuals without required consents;
  2. Sell illegal, obscene, or prohibited content;
  3. Engage in price gouging, fraud, or deceptive practices;
  4. Circumvent Platform fees through off-platform transactions;
  5. Sell photos they do not own or have rights to sell.

9. Payment Processing and Fees

9.1 Payment Processor

WeTrippen uses Stripe, Inc. ("Stripe") as its third-party payment processor for subscription billing and transaction processing. By using the Service, you agree to be bound by Stripe's Services Agreement and Privacy Policy.

9.2 Platform Fees

WeTrippen charges the following Platform Fees:

  1. Pay-Per-Download transactions: 15% of gross transaction amount
  2. Paid Album access fees: 15% of gross transaction amount
  3. Subscription fees: No additional Platform Fee (subscription price is as stated)

Platform Fees are automatically deducted before Photographer payouts.

9.3 Payment Processing Fees

Standard payment processing fees charged by Stripe (currently approximately 2.9% + $0.30 per transaction for US transactions) are passed through to the appropriate party:

  1. For subscriptions: Included in subscription pricing
  2. For Pay-Per-Download/Paid Albums: Deducted from Photographer's portion

9.4 Currency

All transactions are processed in United States Dollars (USD). Users outside the United States may incur currency conversion fees from their financial institutions.

9.5 Failed Payments

  1. If a subscription payment fails, WeTrippen will attempt to retry the charge according to Stripe's retry schedule;
  2. Access to paid features may be suspended after repeated payment failures;
  3. Subscriptions will be cancelled after 30 days of unsuccessful payment attempts;
  4. Photographers are responsible for maintaining valid payment methods.

9.6 Fee Changes

WeTrippen reserves the right to modify Platform Fees upon 60 days' prior notice to affected users. Fee changes will not apply to transactions completed before the effective date of the change.


10. Facial Recognition and Biometric Data

IMPORTANT: This section contains legally significant terms regarding biometric data. Please read carefully.

10.1 Facial Recognition Features Overview

WeTrippen offers optional Facial Recognition Features that analyze facial characteristics in photos to enable:

  1. Photo Organization: Automatically grouping photos by individual faces;
  2. Search Functionality: Allowing users to search for photos containing specific individuals;
  3. "Find Me" Feature: Enabling Attendees to locate photos of themselves across Events.

10.2 Biometric Data Collection and Processing

When Facial Recognition Features are enabled:

  1. WeTrippen's systems analyze photos to detect faces;
  2. Facial geometry and characteristics are processed to create mathematical representations ("facial vectors" or "face embeddings");
  3. These facial vectors are stored and used to match faces across photos;
  4. Original facial images are processed but vectors are stored separately from photos.

10.3 Consent Requirements

FOR PHOTOGRAPHERS: Before enabling Facial Recognition Features for any album or Event, Photographers MUST:

  1. Obtain explicit, informed, written consent from all identifiable individuals in the photos, or their parents/guardians if minors;
  2. Clearly disclose that: facial recognition technology will be used; biometric data (facial vectors) will be created and stored; how long the biometric data will be retained; how individuals can request deletion of their biometric data;
  3. Maintain records of consent for at least three (3) years or as required by applicable law;
  4. Provide WeTrippen with certification of consent upon request;
  5. Comply with all applicable biometric privacy laws, including but not limited to: Illinois Biometric Information Privacy Act (BIPA), Texas Capture or Use of Biometric Identifier Act, Washington Biometric Privacy Law, California Consumer Privacy Act (CCPA), General Data Protection Regulation (GDPR) where applicable, and any other applicable state, federal, or international biometric privacy laws.

FOR ATTENDEES: Before using "Find Me" or other Facial Recognition Features:

  1. Attendees must create an account and explicitly consent to facial recognition processing;
  2. Attendees must upload or capture a reference photo for matching purposes;
  3. Attendees may withdraw consent and request deletion of their biometric data at any time;
  4. Consent is granular and may be provided or withdrawn for specific features.

10.4 WeTrippen's Biometric Data Practices

WeTrippen commits to the following biometric data practices:

  1. Purpose Limitation: Biometric data is used solely for the features described in Section 10.1 and for no other purpose;
  2. No Sale: WeTrippen does not sell, lease, trade, or otherwise profit from biometric data other than through the normal operation of the Platform;
  3. Security: Biometric data is protected using industry-standard encryption and security measures (see Section 10.6);
  4. Retention: Biometric data is retained only as long as necessary for the purposes collected, and in no event longer than three (3) years from the last interaction, or until deletion is requested, whichever is shorter;
  5. Deletion: Upon request or account deletion, biometric data is permanently destroyed within thirty (30) days;
  6. Access: Biometric data is accessible only to authorized WeTrippen personnel and systems on a need-to-know basis.

10.5 Biometric Data Retention and Destruction

(a) Attendee Biometric Data:

  • Retained while account is active and consent is valid;
  • Deleted within 30 days of consent withdrawal or account deletion;
  • Automatically reviewed for deletion after 3 years of account inactivity.

(b) Facial Vectors from Photos:

  • Retained while associated photos remain on Platform;
  • Deleted when photos are deleted by Photographer;
  • Deleted upon request by identifiable individuals;
  • Automatically deleted 90 days after Photographer account termination.

(c) Destruction Standards:

  • Biometric data is destroyed using industry-standard secure deletion methods;
  • Destruction is verified and logged;
  • Backup copies are destroyed according to backup rotation schedules, not to exceed 90 days.

10.6 Biometric Data Security

WeTrippen implements the following security measures for biometric data:

  1. Encryption at rest using AES-256 or equivalent;
  2. Encryption in transit using TLS 1.2 or higher;
  3. Access controls limiting access to authorized personnel;
  4. Audit logging of all access to biometric data;
  5. Regular security assessments and penetration testing;
  6. Employee training on biometric data handling;
  7. Incident response procedures for potential biometric data breaches.

10.7 Opt-Out Rights

  1. Attendees may opt out of Facial Recognition Features at any time by: adjusting privacy settings in their account; contacting support to request removal from facial recognition databases; deleting their account.
  2. Photographed individuals (whether or not Attendees) may request removal of their biometric data by contacting privacy@wetrippen.com with sufficient information to identify themselves in the system.
  3. Photographers may disable Facial Recognition Features for their albums at any time, though this does not retroactively delete biometric data already processed from their photos.

10.8 Geographic Restrictions

Due to varying biometric privacy laws:

  1. Facial Recognition Features may not be available in all jurisdictions;
  2. Photographers are solely responsible for ensuring compliance with local laws before enabling Facial Recognition Features;
  3. WeTrippen reserves the right to disable Facial Recognition Features for users in certain jurisdictions;
  4. Events taking place in Illinois or other states with strict biometric privacy laws require enhanced consent procedures.

10.9 Liability and Indemnification for Biometric Data

  1. Photographer Liability: Photographers are solely responsible for obtaining required consents before enabling Facial Recognition Features. WeTrippen is not liable for Photographer's failure to obtain adequate consent.
  2. Indemnification: Photographers agree to indemnify, defend, and hold harmless WeTrippen from any claims, damages, losses, or expenses (including attorneys' fees) arising from: Photographer's failure to obtain required biometric data consents; Photographer's violation of applicable biometric privacy laws; Third-party claims related to biometric data processed from Photographer's photos.
  3. WeTrippen Liability: WeTrippen's liability for biometric data breaches is limited as set forth in Section 15.

10.10 Biometric Data Breach Notification

In the event of a breach involving biometric data:

  1. WeTrippen will notify affected users and Photographers within 72 hours of discovery, or as required by applicable law;
  2. Notification will include the nature of the breach, types of data affected, and recommended protective measures;
  3. WeTrippen will cooperate with law enforcement and regulatory authorities as required.

11. Privacy and Data Protection

11.1 Privacy Policy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our Privacy Policy.

11.2 Data Controller and Processor Roles

  1. For Photographer account data: WeTrippen acts as the data controller;
  2. For photos and Attendee data processed on behalf of Photographers: WeTrippen acts as a data processor, with the Photographer as data controller;
  3. For "Find Me" and facial recognition data provided directly by Attendees: WeTrippen acts as data controller.

11.3 Data Processing Agreement

For Photographers subject to GDPR or other data protection regulations requiring a Data Processing Agreement (DPA), WeTrippen offers a standard DPA upon request. Contact legal@wetrippen.com for details.

11.4 Data Storage and Location

  1. Data is stored on servers located in the United States;
  2. By using the Service, you consent to the transfer of data to the United States;
  3. WeTrippen uses industry-standard cloud infrastructure providers with appropriate security certifications.

11.5 Data Retention

  1. Active accounts: Data is retained while the account remains active;
  2. Cancelled subscriptions: Photographer Content is retained for 90 days following cancellation, then deleted unless the Photographer requests earlier deletion;
  3. Deleted content: Removed from active systems within 30 days; backup copies within 90 days;
  4. Transaction records: Retained for 7 years for tax and legal compliance;
  5. Biometric data: See Section 10.5.

11.6 Data Subject Rights

Users may exercise the following rights where applicable under law: Access, Correction, Deletion, Portability, Objection, Restriction. To exercise these rights, contact privacy@wetrippen.com.

11.7 Children's Privacy

  1. The Service is not directed to children under 13;
  2. We do not knowingly collect personal information from children under 13;
  3. Photos of minors may be uploaded by Photographers with appropriate consent (see Section 5.3);
  4. Parents or guardians may contact us to request deletion of their child's data.

12. Prohibited Uses

12.1 General Prohibitions

You agree not to use the Service to: violate any applicable law, regulation, or third-party rights; upload, transmit, or distribute illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectional content; upload content depicting child sexual abuse or exploitation; infringe intellectual property rights of others; invade the privacy of others or collect personal information without consent; impersonate any person or entity or misrepresent your affiliation; interfere with or disrupt the Service or servers; attempt to gain unauthorized access to any part of the Service; use automated means (bots, scrapers, etc.) to access the Service without permission; circumvent access controls, watermarks, or payment systems; engage in any activity that could damage, disable, or impair the Service; use the Service for any fraudulent or deceptive purpose.

12.2 Specific Prohibitions for Photographers

Photographers additionally agree not to: upload photos without required rights or consents; enable paid features for content they do not have the right to sell; misrepresent the source, ownership, or rights in photos; use the Platform to harass or stalk individuals; share account credentials or allow unauthorized access; circumvent Platform Fees through off-platform transactions for customers acquired through the Platform; enable facial recognition features without required consents.

12.3 Specific Prohibitions for Attendees

Attendees additionally agree not to: download, copy, or redistribute photos except as permitted; remove or obscure watermarks or copyright notices; use photos for commercial purposes without authorization; attempt to identify or locate individuals using the Platform's features for harassment or stalking; create multiple accounts to circumvent restrictions.

12.4 Enforcement

WeTrippen reserves the right to: remove content that violates these Terms; suspend or terminate accounts that violate these Terms; report illegal activity to law enforcement; cooperate with law enforcement investigations; take any other action we deem necessary to protect the Service and its users.


13. Intellectual Property

13.1 WeTrippen Intellectual Property

  1. The Service, including its software, design, text, graphics, logos, and other content created by WeTrippen, is protected by copyright, trademark, and other intellectual property laws;
  2. WeTrippen, the WeTrippen logo, and other marks are trademarks of WeTrippen, Inc.;
  3. You may not use WeTrippen's trademarks without prior written permission;
  4. All rights not expressly granted are reserved.

13.2 User Intellectual Property

  1. Users retain ownership of their intellectual property in Content they upload;
  2. By uploading Content, users grant WeTrippen the licenses described in Section 7;
  3. Users represent that they have the right to grant such licenses.

13.3 Copyright Infringement (DMCA)

WeTrippen respects intellectual property rights and responds to notices of alleged infringement in accordance with the Digital Millennium Copyright Act (DMCA). To submit a DMCA notice, provide: identification of the copyrighted work claimed to be infringed; identification of the allegedly infringing material and its location on the Service; your contact information (address, phone number, email); a statement that you have a good faith belief that the use is not authorized; a statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner; your physical or electronic signature.

13.4 Repeat Infringers

WeTrippen will terminate the accounts of users who are repeat copyright infringers.


14. Third-Party Services

14.1 Third-Party Integrations

The Service integrates with and relies upon third-party services including: Stripe (payment processing); Firebase/Google Cloud (authentication, storage, and database services); Camera manufacturers (PTP/IP camera integration); Other services as described in our documentation.

14.2 Third-Party Terms

Your use of third-party services through the Platform is subject to those services' respective terms and privacy policies. WeTrippen is not responsible for third-party services.

14.3 Third-Party Links

The Service may contain links to third-party websites or services. WeTrippen does not endorse and is not responsible for third-party content, products, or services.

14.4 No Warranties for Third Parties

WeTrippen makes no warranties regarding third-party services and is not liable for any damages arising from your use of third-party services.


15. Disclaimers and Limitations of Liability

15.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WETRIPPEN DOES NOT WARRANT THAT: THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; ANY ERRORS IN THE SERVICE WILL BE CORRECTED; THE SERVICE WILL MEET YOUR REQUIREMENTS.

15.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WETRIPPEN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR: ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, DATA, OR USE; ANY COST OF PROCUREMENT OF SUBSTITUTE SERVICES; ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE; UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; STATEMENTS OR CONDUCT OF THIRD PARTIES; ANY OTHER MATTER RELATING TO THE SERVICE; WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WETRIPPEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.3 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WETRIPPEN'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: THE AMOUNTS PAID BY YOU TO WETRIPPEN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR ONE HUNDRED DOLLARS ($100).

15.4 Exceptions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, WETRIPPEN'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15.5 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

15.6 Photographer Transactions

WETRIPPEN IS NOT A PARTY TO TRANSACTIONS BETWEEN PHOTOGRAPHERS AND ATTENDEES. WETRIPPEN IS NOT LIABLE FOR: THE QUALITY, ACCURACY, OR LEGALITY OF PHOTOS; PHOTOGRAPHERS' ABILITY TO SELL PHOTOS OR PROVIDE REFUNDS; ATTENDEES' ABILITY TO PAY FOR PHOTOS; DISPUTES BETWEEN PHOTOGRAPHERS AND ATTENDEES.


16. Indemnification

16.1 Photographer Indemnification

Photographers agree to indemnify, defend, and hold harmless WeTrippen and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: Photographer's use of the Service; Photographer's violation of these Terms; Photographer's Content, including any claim that Content infringes third-party rights; Photographer's failure to obtain required consents for photography, distribution, sale, or facial recognition; Photographer's violation of any applicable law; Any transaction between Photographer and Attendees; Photographer's breach of representations or warranties in these Terms.

16.2 Attendee Indemnification

Attendees agree to indemnify, defend, and hold harmless WeTrippen and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: Attendee's use of the Service; Attendee's violation of these Terms; Attendee's violation of any applicable law; Unauthorized use or distribution of photos obtained through the Service.

16.3 Indemnification Procedure

WeTrippen will: promptly notify you of any claim subject to indemnification; provide reasonable cooperation in the defense of the claim; allow you to control the defense and settlement, provided you do not admit liability on WeTrippen's behalf without consent. WeTrippen reserves the right to participate in the defense at its own expense.


17. Termination

17.1 Termination by You

You may terminate your account at any time by: cancelling your subscription through account settings; requesting account deletion by contacting support@wetrippen.com.

17.2 Termination by WeTrippen

WeTrippen may suspend or terminate your account at any time for any reason, including: violation of these Terms; fraudulent, illegal, or abusive activity; extended period of inactivity; request by law enforcement or government agency; discontinuation of the Service. Where practicable, WeTrippen will provide notice before termination, except where: termination is required by law; continued access poses security risks; the violation involves illegal activity or fraud.

17.3 Effect of Termination

Upon termination: your right to access the Service immediately ceases; WeTrippen may delete your Content after 90 days (or immediately for violations); you remain liable for all fees incurred before termination; provisions that by their nature should survive termination will survive, including Sections 7 (Content Ownership), 15 (Disclaimers and Limitations), 16 (Indemnification), and 18 (Dispute Resolution); pending payouts will be processed according to Section 8.6, unless the account was terminated for fraud.

17.4 Data Export

Before termination, you may export your Content using available export features. After termination, data export may not be available.


18. Dispute Resolution and Arbitration

18.1 Informal Resolution

Before filing any formal dispute, you agree to contact WeTrippen at legal@wetrippen.com and attempt to resolve the dispute informally for at least 30 days.

18.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

If we cannot resolve a dispute informally, you and WeTrippen agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding arbitration, rather than in court, except that: either party may bring claims in small claims court if eligible; either party may seek injunctive relief in court for intellectual property infringement.

18.3 Arbitration Rules

Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be held in Delaware or another mutually agreed location. The arbitrator's decision will be final and binding.

18.4 Class Action Waiver

YOU AND WETRIPPEN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

18.5 Exceptions

This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies. Such agencies can, if the law allows, seek relief against us on your behalf.

18.6 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@wetrippen.com within 30 days of first accepting these Terms. If you opt out, you and WeTrippen will resolve disputes in court.

18.7 Governing Law

These Terms and any dispute arising from them will be governed by the laws of the State of Delaware, without regard to conflict of law principles.

18.8 Venue

For any disputes not subject to arbitration, you and WeTrippen agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.


19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and WeTrippen regarding the Service and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19.3 Waiver

WeTrippen's failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by WeTrippen.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without WeTrippen's prior written consent. WeTrippen may assign these Terms without restriction.

19.5 Force Majeure

WeTrippen will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

19.6 Notices

  1. To WeTrippen: Send notices to legal@wetrippen.com or by mail to the address listed in Section 20.
  2. To Users: We may send notices to the email address associated with your account. Notices are effective upon sending (for email) or upon receipt (for mail).

19.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly provided.

19.8 Headings

Section headings are for convenience only and do not affect interpretation.

19.9 Language

These Terms are written in English. Any translated versions are provided for convenience only. In case of conflict, the English version prevails.

19.10 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations in your use of the Service.

19.11 Government Users

If you are a U.S. government entity, you acknowledge that the Service is a "commercial item" and "commercial computer software" as defined in applicable federal regulations.
